Important Notice — Not Legal Advice

Production Legal Binder is a software platform operated by Bliss Tech LLC, a California limited liability company. It is not a law firm. Use of this platform — including accessing templates, generating AI-assisted documents, or uploading files — does not constitute the practice of law and does not create an attorney-client relationship.

  • Templates and marketplace documents are legal drafting starting points provided for informational purposes. They have not been tailored to your specific facts, jurisdiction, or circumstances and do not constitute legal advice.
  • AI-generated content is a drafting aid, not a finished legal work product. All AI output should be reviewed by a licensed attorney before execution or delivery to any counterparty.
  • No attorney-client relationship is created by using this platform. If you require legal advice, please consult a licensed attorney independently.

If you need legal advice specific to your situation, please contact legal@productionlegalbinder.com. You may also consult the California State Bar Attorney Search to find a licensed attorney.

Parties

These Terms of Service ("Terms") constitute an agreement between:

  • Bliss Tech LLC — operator of the Production Legal Binder software platform ("we," "us," or "our"); and
  • You — the individual or entity accessing or using Production Legal Binder ("User" or "you").

By creating an account or using the platform, you agree to these Terms. Questions may be directed to legal@productionlegalbinder.com.

Services

Production Legal Binder provides the following software features:

  • AI-Assisted Production Legal Analysis — Identification of the legal documents and clearances typically required for a production, generated using Claude AI as a drafting starting point.
  • Document Generation — AI-assisted drafting of production legal agreements (crew deal memos, appearance releases, location releases, music clearances, life rights agreements, E&O schedules). All output is a drafting aid; users are responsible for review before use.
  • DocuSign Routing — Electronic routing of agreements to signatories for signature via DocuSign.
  • Productions Database — Tracking of a production's legal documents, clearance status, and delivery.
Out of Scope — The following are expressly outside the scope of these services:
  • Union and guild negotiations (SAG-AFTRA, AFM, IATSE, WGA, etc.)
  • Sample clearance for recorded music embedded in the performance
  • Talent representation or negotiation of principal/talent fees
  • Tax, immigration, insurance, or other non-entertainment legal advice
  • Litigation or dispute resolution services
No Attorney-Client Relationship

Use of Production Legal Binder does not create an attorney-client relationship. This platform is a self-service software tool. No attorney-client relationship is formed by registering an account, submitting a project, generating documents, or using any feature of the platform.

If you require legal representation, please contact a licensed attorney directly. You may use the California State Bar Attorney Search to find a licensed attorney in your jurisdiction.

AI Use Disclosure
AI-generated content is a drafting aid, not finished legal work product. You are responsible for reviewing all output before use or delivery to any counterparty.

Production Legal Binder uses Anthropic's Claude API to assist in generating rights analysis and drafting agreements. AI output may contain errors, omissions, or language inappropriate for your specific facts, jurisdiction, or circumstances.

Your project data transmitted to the Anthropic API is governed by Anthropic's API data usage policy, under which API inputs are not used to train AI models. We recommend having all AI-generated agreements reviewed by a licensed attorney before execution or delivery to any counterparty.

Confidentiality

We treat the project data and files you upload to Production Legal Binder as confidential. We do not sell your data or share it with third parties except as necessary to operate the platform (e.g., AI processing via Anthropic's API, e-signature via DocuSign).

Because no attorney-client relationship is formed through use of this platform, communications are not protected by attorney-client privilege unless you separately engage a licensed attorney for legal representation. See our Privacy Policy for full details on data handling.

No Guarantee of Rights Holder Approval

We make no representation, warranty, or guarantee that any rights holder — including distributors, co-producers, music publishers, location owners, principals, or platforms — will approve or execute any agreement drafted through Production Legal Binder. Clearance outcomes depend on third-party decisions outside the Firm's control.

Limitation of Liability

To the maximum extent permitted by applicable law, our aggregate liability for any claims arising from or related to use of Production Legal Binder is limited to the total subscription fees paid by you in the 12 months preceding the claim.

Nothing in this section limits liability for gross negligence or willful misconduct.

Termination

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial periods.

We reserve the right to suspend or terminate accounts that violate these Terms. Upon cancellation or termination, your data is retained for 30 days before deletion, giving you time to export your files.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising from these Terms or any engagement under them shall be resolved in the state or federal courts located in Los Angeles County, California, and both parties consent to the personal jurisdiction of such courts.
